Terms and Conditions

Last updated: September 17, 2026

Agreement to These Terms

These Terms and Conditions ("Terms") govern your access to and use of proofreadstyle.com (the "Site") and the services offered by ProofreadStyle LLC ("ProofreadStyle," "we," "us," or "our").

By accessing the Site, submitting information through the Site, enrolling in an educational email course, purchasing services, accepting a proposal, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the Site or purchase our services.

Certain engagements may also be governed by a proposal, statement of work, service agreement, invoice, or other written agreement. If a project-specific written agreement conflicts with these general Terms, the project-specific agreement will control for that engagement.

1. Our Services

ProofreadStyle LLC provides research-driven educational email course development, ghostwriting, content development, and related professional services primarily for fractional COOs and other business professionals.

Our services are intended primarily for professional, commercial, and internal business use.

Specific deliverables, timelines, pricing, revisions, responsibilities, and other project requirements may be stated in a written proposal, statement of work, service agreement, invoice, or other project-specific document.

Persons accessing the Site from outside the United States are responsible for complying with laws applicable to them where they are located.

2. Purchases, Payments, Cancellations, and Refunds

Pricing and Payment

Pricing for professional services may vary according to project scope, complexity, timing, deliverables, and other requirements. Unless otherwise stated, payments are processed in U.S. dollars.

Clients agree to pay amounts due according to the payment schedule stated in the applicable proposal, invoice, statement of work, or service agreement.

ProofreadStyle may pause or delay work when required payments are overdue.

Cancellations

Clients may cancel a project by providing written notice to ProofreadStyle LLC.

If cancellation occurs before work has begun, amounts already paid will be refunded except for any deposit or retainer expressly identified as non-refundable in the applicable project agreement.

If cancellation occurs after work has begun, the client remains responsible for fees attributable to services performed through the effective date of cancellation.

Refunds

Because ProofreadStyle provides customized professional services, payments attributable to services already performed are non-refundable.

Any prepaid amount attributable to services not yet performed will be handled according to the applicable proposal, statement of work, service agreement, or other written project terms.

If ProofreadStyle cancels an engagement and does not provide prepaid services, prepaid amounts attributable to services not performed will be refunded.

Project-specific written agreements may establish different refund or cancellation terms. Where those terms conflict with this section, the project-specific agreement controls.

Nothing in this section limits any right or remedy that cannot lawfully be waived or restricted.

3. Intellectual Property Rights

Unless otherwise stated, ProofreadStyle owns or licenses the intellectual property associated with the Site and its pre-existing materials, including branding, website content, processes, templates, methods, designs, and other materials created independently of a specific client engagement.

You may use publicly available Site content for ordinary personal or internal business purposes, but you may not reproduce, commercially exploit, republish, distribute, sell, or create competing materials from our proprietary content without written permission.

Ownership and licensing of client-specific deliverables may be addressed in the applicable proposal, statement of work, or service agreement.

Unless otherwise agreed in writing, intellectual property rights in a client-specific deliverable do not transfer until all amounts due for that deliverable have been paid.

Nothing in these Terms transfers ownership of a client's pre-existing intellectual property to ProofreadStyle.

4. Client Responsibilities and Results

Clients are responsible for providing accurate, complete, and timely information, materials, feedback, approvals, and access reasonably necessary for ProofreadStyle LLC to perform the agreed services. Project schedules may be adjusted when client materials, feedback, approvals, or other required information are delayed.

Clients are responsible for reviewing and approving final deliverables before publication or use, including verifying factual statements, claims, legal or regulatory requirements, and information specific to the client's industry. ProofreadStyle LLC does not guarantee any particular business, marketing, revenue, audience, conversion, or other performance result from the use of its services or deliverables.

7. Client Materials and Submissions

Clients may provide documents, business information, drafts, branding materials, data, research, recordings, examples, instructions, and other materials needed for a project.

By providing materials to ProofreadStyle, you represent that you have the right to provide those materials and authorize ProofreadStyle to use them as reasonably necessary to perform the agreed services.

You remain responsible for the accuracy, legality, and appropriate use of client-provided materials.

Client project materials do not become ProofreadStyle's property merely because they are submitted to us.

8. Feedback License

If you voluntarily provide suggestions, ideas, comments, reviews, or other general feedback about ProofreadStyle or its services, you grant us permission to use that feedback for legitimate business purposes without compensation to you.

This provision does not transfer ownership of confidential client materials, project content, proprietary business information, or deliverables governed by a separate written agreement.

9. Services Management

We reserve the right to take reasonable measures to protect the Site, our systems, our business, and other users.

This may include restricting access, investigating suspected misuse, removing unlawful material, enforcing these Terms, or cooperating with lawful requests from appropriate authorities when required.

10. Term and Termination

These Terms remain in effect while you use the Site or services.

We may restrict or terminate access to the Site where reasonably necessary because of unlawful conduct, material violations of these Terms, security concerns, fraud, abuse, or conduct that threatens ProofreadStyle or third parties.

Termination of a specific client engagement is also subject to the applicable cancellation provisions and any project-specific agreement.

11. Modifications and Interruptions

We may modify, update, suspend, or discontinue portions of the Site from time to time.

We cannot guarantee uninterrupted access to the Site and may experience maintenance, technical problems, outages, or other interruptions.

We will not be responsible for temporary Site unavailability except to the extent liability cannot lawfully be excluded.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where another law must apply.

For any dispute properly proceeding in court rather than arbitration, the parties consent to jurisdiction and venue in an appropriate court located in Colorado, subject to applicable law.

13. Dispute Resolution

Informal Negotiations

Before initiating arbitration, the parties agree to attempt in good faith to resolve disputes through informal negotiations.

The party raising a dispute should provide written notice describing the dispute and the requested resolution.

The parties will have 30 days after receipt of that written notice to attempt an informal resolution unless both parties agree to extend the period.

Binding Arbitration

If a dispute is not resolved through informal negotiations, it will be resolved by binding arbitration rather than a lawsuit in court, except where applicable law permits or requires a dispute to proceed in court.

Unless the parties agree otherwise in writing, arbitration will take place in Colorado and will be administered by the American Arbitration Association under its applicable rules.

If applicable law requires ProofreadStyle to bear or reimburse arbitration fees because a user's required share would otherwise make the arbitration provision unenforceable, ProofreadStyle will pay the amount required by law.

Individual Proceedings

To the fullest extent permitted by law, arbitration will proceed only between the parties individually and not as a class, collective, consolidated, or representative proceeding.

Exceptions

The informal-negotiation and arbitration requirements do not prevent a party from seeking appropriate court relief for disputes involving intellectual property rights, unauthorized access or misuse, privacy violations, injunctive relief, or other claims that applicable law permits to proceed in court.

14. Corrections

Information on the Site may occasionally contain typographical errors, inaccuracies, outdated information, or omissions.

We reserve the right to correct or update Site information when appropriate.

15. Disclaimer

To the fullest extent permitted by law, the Site and general informational materials are provided on an "as is" and "as available" basis.

ProofreadStyle does not guarantee that the Site will always be uninterrupted, error-free, secure, or free of harmful components.

Free educational materials, email courses, articles, examples, and general information provided through the Site are for informational and educational purposes.

Unless expressly agreed otherwise in writing, such materials do not constitute legal, tax, accounting, financial, regulatory, or other licensed professional advice.

Any express obligations or warranties stated in a project-specific written agreement remain governed by that agreement.

16. Limitation of Liability

To the fullest extent permitted by applicable law, ProofreadStyle LLC's aggregate liability arising out of or relating to a particular client engagement will not exceed the amount actually paid by the client to ProofreadStyle for the services giving rise to the claim.

To the fullest extent permitted by law, ProofreadStyle and its owners, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost opportunities, lost data, or similar losses arising from use of the Site or services.

These limitations do not apply where applicable law prohibits limitation or exclusion of the particular liability.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold ProofreadStyle LLC and its owners, employees, contractors, and agents harmless from third-party claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Materials or information you provide to us;
  • Your unlawful use of the Site or deliverables;
  • Your violation of these Terms or a project-specific agreement;
  • Your infringement of another person's rights; or
  • Your intentional misconduct.

This provision does not require indemnification for liability that applicable law does not permit to be shifted to you.

18. User Data

We may receive and maintain information that you submit through the Site or provide in connection with our services.

Our handling of personal information is described in our Privacy Policy and Cookie Policy.

Clients should maintain their own copies of important materials, correspondence, source files, approvals, and deliverables and should not rely on the Site as their sole data-storage system.

19. Electronic Communications, Transactions, and Signatures

Visiting the Site, submitting forms, communicating with us electronically, accepting proposals, and conducting transactions electronically may constitute electronic communications.

You consent to receiving agreements, notices, invoices, disclosures, and other communications electronically where permitted by law.

Electronic acceptance, acknowledgments, and signatures may be used to form agreements to the extent permitted by applicable law.

20. Miscellaneous

These Terms, together with applicable policies and any project-specific written agreement, constitute the agreement between the parties concerning their respective subject matter.

Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.

If a provision is found invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

Nothing in these Terms creates a partnership, employment relationship, franchise, joint venture, or agency relationship between you and ProofreadStyle.

We may update these Terms from time to time. The current version will be identified by the "Last updated" date displayed at the beginning of these Terms.
